If there is any change, Shenzhen Futu Innovation Technology Co., Ltd.will make an announcement by sending a message in the licensed software without further notice. Once the changed agreement and rules are announced, they will automatically become a part of this agreement, without further notice to you for consent. If you do not agree to the relevant changes, please immediately stop using the services of Shenzhen Futu Innovation Technology Co., Ltd.; if you continue to use, it is deemed that you have no objection to the revised rules and agree to abide by them.
1. Definition of terms

2. Service

You can control the smart terminal connected to Shenzhen Futu Innovation Technology Co., Ltd.supplier cloud platform through Shenzhen Futu Innovation Technology Co., Ltd., And realize the linkage between smart devices. The service content includes smart device management, scene linkage, analysis reports, etc. These functional services may be optimized or modified according to changes in your needs or the unilateral judgment of the service provider, and may also temporarily stop providing services due to regular or irregular maintenance .
3. Service scope
3.1. Subject to this agreement, Shenzhen Futu Innovation Technology Co., Ltd.grants you the right to use the licensed software.
3.2. You may not license, sell, lease, transfer, distribute or otherwise use the Licensed Software in any form.
3.3. Due to the licensed software adaptation platform and terminal restrictions, you can only use the licensed software on authorized system platforms and terminals. If you install the licensed software on other terminal devices, it may cause damage to your hardware or software functions.
3.4. You should understand that the licensed software can only be used for non-commercial purposes, and you cannot install, use, or run the licensed software for commercial operation purposes.
3.5. Shenzhen Futu Innovation Technology Co., Ltd.and its suppliers will change, upgrade or transfer the licensed software and its related functions from time to time, and may add new functions or services to the licensed software system. If there is no independent agreement for the above-mentioned new functions and services, you can still obtain authorization for the corresponding functions and services, and this agreement applies。
3.6. You shall be responsible for the accuracy, reliability, completeness and legality of the data you input, as well as the legality of the way you obtain the data, and you shall back up data and materials regularly. You bear all risks for any damage or loss of such information.
3.7. You should keep your account number and password safe. If you find that your account has security risks (including but not limited to user password leakage), you should notify Shenzhen Futu Innovation Technology Co., Ltd.in time, and Shenzhen Futu Innovation Technology Co., Ltd.will will assist you in taking relevant steps. Otherwise, you are responsible for all actions under your account, and you shall bear all responsibilities.

5. Service Specifications

5.2. 6.1. You promise not to use the service for any illegal or inappropriate activities, including but not limited to the following:

You shall be solely responsible for personal injury or incidental and indirect damages caused by or related to any of the following situations: 1) Unapproved use of licensed software by a third party or change of your data ; 2) Expenses and losses caused by the use of the licensed software; 3) Your misunderstanding of the licensed software; 4) Other losses related to the licensed software not caused by Shenzhen Futu Innovation Technology Co., Ltd.
8.4. Any other software derived from licensed software not developed by Shenzhen Futu Innovation Technology Co., Ltd.or authorized by Shenzhen Futu Innovation Technology Co., Ltd.to develop and officially release is illegal. Downloading, installing and using such software may cause Unpredictable risks, legal responsibilities and disputes arising therefrom have nothing to do with Shenzhen Futu Innovation Technology Co., Ltd.Shenzhen Futu Innovation Technology Co., Ltd.has the right to suspend and terminate the use license and/or all other services.

Suspension, interruption, delay, use restriction or inability to use due to reasonably controlled time (including but not limited to fire, flood, terrorist attack, plague, natural disaster, riot, terminal virus, hacker attack, network failure, terminal failure). You hereby specifically assume the above risks, and agree that Shenzhen Futu Innovation Technology Co., Ltd.shall not be liable to you when the actual occurrence of the above risk events affects the normal operation of the service.
9. Agreement termination and liability for breach of contract

You should understand that you need to use the licensed software within the scope of authorization, respect the intellectual property rights of the licensed software and the content contained in the licensed software, use the licensed software in accordance with the specifications, and perform obligations in accordance with this agreement. If you seriously violate this agreement, Shenzhen Futu Innovation Technology Co., Ltd.will terminate your license and require you to bear corresponding responsibilities.
9.2. Your use of the licensed software depends on the supporting services provided by Shenzhen Futu Innovation Technology Co., Ltd.and its suppliers. If you violate the terms, agreements, rules, Notices and other relevant regulations may cause you to be unable to use the licensed software normally. Shenzhen Futu Innovation Technology Co., Ltd.has the right to terminate the use license or to grant your use license and other rights and interests that Shenzhen Futu Innovation Technology Co., Ltd.can control in the manner agreed in the agreement. Take restrictive action, including suspending or terminating your license to use.
9.3. Once you violate this agreement or other agreements signed with Shenzhen Futu Innovation Technology Co., Ltd., Shenzhen Futu Innovation Technology Co., Ltd.and its suppliers have the right to take restrictive measures against your rights, including suspending and terminating your rights and interests. Provide some or all of the services, and publicize your breach of contract on the website operated or actually controlled by Shenzhen Futu Innovation Technology Co., Ltd.and its suppliers.
9.4. The licensed software is downloaded by you from the download platform. You need to abide by the agreement of the download platform, system platform, and terminal manufacturer on the way and restrictions on your use of the licensed software. If the above-mentioned third party confirms that you have violated the agreement, Shenzhen Futu Innovation Technology Co., Ltd.If the company and its suppliers handle it, Shenzhen Futu Innovation Technology Co., Ltd.may terminate the license to you due to the request of the third party.
9.5. When this license is terminated, you should stop using the licensed software and destroy all copies.
9.6. If you violate the terms of this agreement and cause losses to Shenzhen Futu Innovation Technology Co., Ltd., its suppliers or other users, you must bear full liability for compensation.
10. Governing Law and Severability
10.1. The validity, interpretation, modification, execution and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China. If there is no relevant law, general international business practices and (or) industry practices shall be referred to.
10.2. For disputes arising from or related to this agreement, you can resolve them through friendly negotiation with Shenzhen Futu Innovation Technology Co., Ltd.or submit them to the people's court with jurisdiction in the place where this agreement is signed for adjudication.
10.3. When any clause of this agreement is ruled invalid by the competent people's court, it will not affect the effectiveness of other clauses or any part thereof, and you and Shenzhen Futu Innovation Technology Co., Ltd.should still perform them in good faith.
